These Terms of Service (the “Terms”) constitute a binding legal agreement between you (“you” or “User”) and NWMG Enterprises LLC., doing business as PSU Records (“PSU Records,” “we,” “us,” or “our”). These Terms govern your access to and use of the Website and all content, functionality, and services offered on or through it. This agreement is effective as of December 10, 2025 and applies to all users and visitors of the Website.

PSU Records reserves the right to modify, suspend, or discontinue the Services, in whole or in part, at any time with or without notice to you. The sale of a Digital Good is a distinct transaction from the provision of a Digital Automated Service.

   
    User Obligations and Conduct


    As a User of the Website, you agree to use the Services responsibly and in compliance with these Terms. If you create an Account, you are solely responsible for maintaining the confidentiality of your account information, including your password, and for all activity that occurs under your Account. You agree to notify PSU Records immediately of any unauthorized use of your Account.


    Your use of the Website and Services must comply with all applicable local, state, national, and international laws and regulations. You are responsible for ensuring your activities on the Website, including any purchases, do not violate any relevant statutes or legal requirements. 


    By using the Website, you agree not to: * Violate the intellectual property rights of PSU Records or any third party, including copyrights, trademarks, or trade secrets. * Copy, reproduce, distribute, resell, publicly perform, or create derivative works from any Content, Digital Goods, or Merchandise obtained from the Website, except as expressly permitted by these Terms or a separate agreement. The purchase of a product for resale without intervening use may be permissible only with a valid reseller permit and under a wholesale agreement. * Use the Services for any fraudulent, unlawful, or malicious purpose. * Interfere with or disrupt the operation of the Website, its servers, or networks, including by transmitting any virus, worm, or other malicious code. * Engage in any data mining, scraping, or similar data gathering or extraction methods in connection with the Website. * Impersonate any person or entity or misrepresent your affiliation with any person or entity.


    Intellectual Property Rights


    All right, title, and interest in and to the Website, its Content, and the Services, including all associated Intellectual Property rights, are the exclusive property of PSU Records, its licensors, or other providers of such material. This includes but is not limited to all software, text, images, graphics, audio and video works, data, and the design, selection, and arrangement thereof. The PSU Records name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of PSU Records or its affiliates or licensors. You must not use such marks without the prior written permission of PSU Records.


    Upon your purchase of a Digital Good, PSU Records grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Digital Good for your personal, non-commercial use. This license does not confer any ownership rights in the Digital Good. The sale of a Digital Good to you as an end user does not grant you any right to reproduce, redistribute, broadcast, sell, rent, share, lend, modify, adapt, or create derivative works from the Digital Good. Transactions that include the right to duplicate or resell digital products are treated as wholesale or royalty-based transactions and require a separate written agreement with PSU Records.


    PSU Records grants you a limited, revocable, non-exclusive, non-transferable license to access and make personal, non-commercial use of the Website and its Content. This license does not include any rights to download (other than page caching), modify, or resell any part of the Website or its Content. All rights not expressly granted to you in these Terms are reserved and retained by PSU Records or its licensors.

    Purchase, Payment and Licensing Terms

PSU Records accepts the following payment methods: Major credit and debit cards (Visa, MasterCard, American Express, Discover) & PayPal. By submitting your payment information, you represent and warrant that you are authorized to use the designated payment method and that you authorize us (or our third-party payment processor,Major credit and debit cards (Visa, MasterCard, American Express, Discover) &PayPal to charge your payment method for the total amount of your order, including any applicable taxes.


    Upon successful completion of your payment for a Digital Good, you are granted a limited, personal, non-commercial, non-transferable, revocable license to use the content as specified in the “Intellectual Property Rights” section. Under Washington law, “use” of a digital good or digital code commences with the first act by which you view, access, download, possess, store, open, manipulate, or otherwise enjoy the content.


All sales of Digital Goods are final. Due to the nature of digital content, we do not offer refunds, credits, or exchanges once a purchase is complete and the Digital Good has been made available to you. You are responsible for any loss of purchased Digital Goods resulting from device failure, file corruption, or other issues after download or access. For physical Merchandise, returns or exchanges may be permitted for items that are defective or damaged upon arrival, provided you contact us within 3 days of receipt.     Digital Content Sourcing and Tax Exemptions


    Purchases made through the Website are subject to applicable sales tax. For Digital Goods and Digital Automated Services, Washington law requires that the sale be sourced to a specific location to determine tax liability. The sourcing hierarchy prioritizes the location where the buyer receives the product, which for digital products means the location where you first make use of the service or first take possession of or make first use of the digital good. If this location is not known, the sale is sourced to an address available in our business records for you or an address obtained during the sale, such as a credit card billing address. 


    You may be eligible for certain tax exemptions under Washington law, provided you furnish the required documentation.


    It is your sole responsibility to determine your eligibility for any tax exemption and to provide PSU Records with complete and accurate documentation before completing your purchase.


   
   
    Intellectual Property and Content Ownership


    PSU Records respects the intellectual property of others and expects its Users to do the same. All Content and materials on the Website are the exclusive property of PSU Records or its licensors and are protected by copyright, trademark, and other intellectual property laws.


    If you believe that any Content on the Website infringes upon your copyright, please notify us by providing our designated copyright agent with the following information in writing:

PSU RECORDS HEREBY DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO, THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE WEBSITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE WEBSITE OR THE SERVERS THAT MAKE IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

    Indemnification


    You agree to defend, indemnify, and hold harmless PSU Records, its affiliates, licensors, and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms of Service or your use of the Website, including, but not limited to, any use of the Website’s Content, Services, and products other than as expressly authorized in these Terms.


   
   
    Termination and Suspension


   PSU Records reserves the right, in its sole discretion, to suspend or terminate your Account and your access to the Website and Services, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Website and Services will immediately cease. If we terminate your access for a breach of these Terms, you will not be entitled to any refund for any purchases, including Digital Goods or Merchandise.


    All provisions of the Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability. You may terminate your Account at any time by contacting us at info@psurecords.com, but you will remain liable for all obligations related to your Account that arose prior to termination.


   
   
    Governing Law and Dispute Resolution


    These Terms of Service and any dispute or claim arising out of, or related to them, their subject matter, or their formation (in each case, including non-contractual disputes or claims) shall be governed by and construed in accordance with the internal laws of the State of Washington without giving effect to any choice or conflict of law provision or rule.


    Any legal suit, action, or proceeding arising out of, or related to, these Terms of Service or the Website shall be instituted exclusively in the federal courts of the United States or the courts of the State of Washington, in each case located in Pierce County, Washington. You waive any and all objections to the exercise of jurisdiction over you by such courts and to venue in such courts.


   
   
    Miscellaneous Provisions


Entire Agreement. These Terms, together with our Privacy Policy, constitute the sole and entire agreement between you and PSU Records regarding the Website and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral.


Amendments. We may revise and update these Terms from time to time in our sole discretion. All changes are effective immediately when we post them. Your continued use of the Website following the posting of revised Terms means that you accept and agree to the changes.


Severability. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent such that the remaining provisions of the Terms will continue in full force and effect.


Waiver. No waiver by PSU Records of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure of PSU Records to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.


Assignment. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations under these Terms in their entirety to an affiliate or in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets.

    Indemnification
